LICENSE AGREEMENT.MK MEDIA, LLC owns all the rights to all photograph(s) and/or video(s) and these rights are legally protected. MK Media, LLC licenses the use of the photograph(s) and/or video(s) to you only as set out below:BASIC LICENSE 1.1 By purchasing the CD-R you have a NON-EXCLUSIVE LICENSE to view the photograph(s) and/or video(s) on it. 1.2 Photographs and video may be used on your PC for PERSONAL, NON-COMMERCIAL use. 1.3 You may not copy, distribute or share the photograph(s) or video(s) in any way, except that you may make a single copy for backup purposes only. 1.4 Rights to the photograph(s) and video(s) may not be sublicensed, resold or made available for distribution. 1.5 No photograph may be manipulated, morphed or in any other way materially altered without prior consent by MK Media, LLC. INDEMNITY 2.1 You agree to indemnify and hold harmless MK Media, LLC and their respective affiliates against all claims, liabilities, damages, costs and expenses (including attorney's fees), arising in connection with your use of the photograph(s) and/or video(s). WARRANTY and EXCLUSION OF LIABILITY 3.1 MK Media, LLC warrants the photograph(s) and video(s) on the CD-R to be free from defects in material and workmanship for 30 days. The sole and exclusive remedy for a breach of this warranty is the replacement of the CD-R or a refund of the purchase price at our option. MK Media, LLC MAKES NO OTHER WARRANTY, express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. 3.2 MK Media, LLC WILL NOT BE LIABLE to you or any other person for any general, special, direct, indirect, consequential, incidental or any other damages arising directly or indirectly out of this agreement or use of the photograph(s) or video(s). TERMINATION AND RETURNS 4.1 Any right to use the photograph(s) or video(s) on the CD-R will terminate automatically without notice if you fail to comply with any provision of this agreement. On termination, you must immediately delete and/or destroy all the photograph(s) and/or video(s) including copies - in any medium - which are in your possession or control. GOVERNING LAW 5.1 This Agreement shall be governed by the laws of the State of Texas.
